1. Purpose
The purpose of this policy is to establish clear guidelines for the
creation, ownership, use, protection, and enforcement of
intelectual property (IP) at OpenView LLC. This ensures that al IP
is properly managed, legaly protected, and used responsibly by
employees, contractors, and other contributors.
2. Scope
This policy applies to al employees, contractors, and collaborators of OpenView LLC. It covers al types of intelectual property,
including but not limited to:
• Copyrighted works (e.g., content, designs, software code)
• Trade secrets
• Software
• Branding elements
• Designs
• Other proprietary contentThe policy applies to IP created on the job as well as IP created
outside of work if it relates to OpenView LLC’s business.
Ownership
1. Al IP created by employees, contractors, or colaborators in
the course of their work for OpenView LLC is owned
exclusively by the company.
2. Pre-existing IP brought to OpenView LLC by individuals
remains the property of that individual, unless specificaly
assigned to the company in writing.
3. When IP is sold legaly, ownership and rights are transferred
for that specific unit only, as defined in the sale agreement.
4. Contributors agree to assign al rights, title, and interest in IP
created for OpenView LLC to the company automatically.
Use of Intelectual Property
1. Company IP is to be used only for authorized business
purposes.
2. Personal use of company IP is prohibited unless expressly
approved by the CEO.
3. External use of IP, including licensing or sublicensing, is
alowed only through CEO-approved platforms or with prior
written approval from the CEO.5.
Protection and Confidentiality
1. Employees and contractors must maintain the confidentiality
of trade secrets and other proprietary information.
2. Al individuals must sign confidentiality/non-disclosure
agreements (NDAs) as required.
3. Any suspected IP theft, infringement, or misuse must be
reported immediately to management.
Enforcement and Compliance
1. Violations of this policy may result in immediate termination of
employment or contract.
2. The company reserves the right to pursue legal action to
protect its intelectual property.
3. OpenView LLC wil take necessary steps to comply with and
respond to third-party IP complaints.
Respect for Third-Party IP
Al employees, contractors, and colaborators are expected to
respect the intelectual property of others and avoid unauthorized use of third-party copyrights, trademarks, patents, or other
protected works.
Review and Updates
This policy wil be reviewed and updated as needed to reflect
changes in law, business operations, or company strategy.
